Quick Guide: Seychelles Accounting Records
If your company is registered in Seychelles—whether as an IBC, Foundation, Trust, or Limited Partnership—you must comply with the accounting records requirements under the International Business Companies (Amendment) Act, 2021.
Who must comply?
All Seychelles companies and registered arrangements, including IBCs, Foundations, Trusts, and Limited Partnerships.
Document requirements:
- You must lodge accounting records, including underlying documentation such as bank statements, invoices, receipts, contracts, ledgers, and other relevant documentation—at the company’s registered office in Seychelles.
Deadline schedule (bi-annual lodgment):

- Historical records from 1 January 2015 to 31 December 2021: must have been lodged by 6 February 2022.
- Records for January–June: must be lodged by 31 July each year.
- Records for July–December: must be lodged by 31 January of the following year.
From 2022 onward, this bi-annual schedule is ongoing.
Financial Summary requirement:
If your company is either a large company (annual turnover above ~USD 3.75 million) or a non-large, non-holding company, you must prepare an annual financial summary and keep it at the registered office within 6 months of your financial year-end.
- Penalties for non-compliance:
Failure to comply with these timelines may result in fines ranging from US $2,000 to US $10,000 per breach, along with potential enforcement actions, including strike-off. - Registering records stored outside Seychelles:
If you keep your records outside Seychelles, you must inform your registered agent in writing of the location. Any change of storage location must also be notified within 14 days.
