We acted as legal counsel to the issuer in connection with the registration at the Superintendence of the Securities Market of Panama of the Corporate Revolving Securities Program of Elektra Noreste, S.A. (ENSA), for an amount of up to US$300 Millions, listed on the Latin American Stock Exchange (Latinex), approved pursuant to Resolution SMV No. 150-26 dated April 21, 2026.

The Program, with a ten-year term, contemplates the issuance in multiple series of Corporate Bonds and Commercial Negotiable Securities (VCNs), the proceeds of which will be primarily allocated to finance the expansion, modernization, and maintenance of the issuer’s electricity distribution network.

In this transaction, Prival Bank, S.A. acted as structuring agent and paying, registration and transfer agent, while Prival Securities, Inc. acted as broker-dealer and stock exchange member.
